PUBLIC OFFER AGREEMENT (OFFER)

for the Sale of Goods by Distance

(Version dated November 7, 2025)

This Public Offer Agreement (hereinafter referred to as the “Agreement” or the “Offer”) is an official offer of Individual Entrepreneur Aleksei Ivanovich Grin, duly registered in accordance with the legislation of the Republic of Belarus, Taxpayer Identification Number (UNP) 491706250, Registered address: 42 Minskaya Street, Gomel, Republic of Belarus, hereinafter referred to as the “Seller”, addressed to any individual or legal entity that accepts the terms of this Agreement (hereinafter referred to as the “Buyer”).

1. General Provisions

1.1. This Agreement constitutes a public offer in accordance with Articles 396 and 407 of the Civil Code of the Republic of Belarus.

1.2. Publication of the text of this Agreement on the Seller’s website constitutes a public offer to conclude a distance sales contract.

1.3. The catalogue at streetwallsgallery.com is informational. The Buyer places an order through streetwallsgallery.by; acceptance of this Offer occurs when the Buyer submits the checkout form and confirms acceptance of this Offer.

1.4. Upon acceptance, this Agreement is deemed concluded in simple written form.

2. Subject of the Agreement

2.1. The Seller undertakes to transfer into the ownership of the Buyer the goods presented in the online catalog on the Website, and the Buyer undertakes to accept and pay for these goods.

2.2. All information about the goods (name, price, specifications, images) published on the Website forms an integral part of this Agreement.

3. Order Placement and Payment Procedure

3.1. The Buyer independently places an order through the checkout interface on streetwallsgallery.by.

3.1-1. Orders on the Website are accepted 24/7. Order processing, availability confirmation and communication with the Buyer are carried out daily from 09:00 to 21:00 (UTC+3).

3.2. The Seller processes order details and payment status after receiving the payment-system notification.

3.3. Payment is made via the BePaid payment system (LLC “BePaid”, Republic of Belarus). The Buyer is redirected directly to BePaid’s hosted payment page.

3.4. Payments are accepted in Belarusian rubles (BYN) or euros (EUR) via BePaid. The final currency and amount are shown in checkout before payment.

The moment of payment shall be deemed the moment when the funds are credited to the Seller’s bank account.

4. Delivery and Receipt of Goods

4.1. Delivery is carried out from the Republic of Belarus to Belarus, Russia, and European Union countries by a postal or courier service selected for the order.

4.2. Delivery costs and estimated delivery times are shown in checkout before payment. EU delivery costs €35; delivery to Belarus and Russia costs the equivalent of €20 in the checkout currency.

4.3. Goods are shipped to the address specified by the Buyer at the time of ordering.

4.4. The allocation of risk of loss or damage is determined by applicable law. Nothing in this Agreement limits mandatory consumer rights.

5. Return and Exchange of Goods

5.1. Returns and exchanges are carried out in accordance with the legislation of the Republic of Belarus and taking into account the provisions of Directive 2011/83/EU on consumer rights protection.

5.2. The Buyer is asked to report visible delivery damage within two (2) calendar days where possible. This does not limit mandatory consumer rights.

5.3. The Buyer may request a return of a ready-made artwork within 14 calendar days after receipt. The artwork should be returned in appropriate condition, taking account of permitted inspection.

5.4. Refunds are made using the same payment method as the original transaction, after the Seller receives the returned goods.

5.5. For a standard return, the Buyer bears the direct return shipping costs. For damaged, defective, or incorrect goods, applicable law applies.

6. Rights and Obligations of the Parties

6.1. The Seller undertakes to:

• deliver goods of proper quality to the Buyer;
• provide accurate information about the goods, prices, and payment and delivery terms;
• ensure the lawful processing and protection of the Buyer’s personal data;
• fulfill delivery obligations for paid goods on time.

6.2. The Buyer undertakes to:

• provide accurate data when placing an order;
• pay for the order in a timely manner;
• accept the goods within the agreed period and at the specified address;
• inspect the goods upon receipt for external condition and completeness.

7. Liability of the Parties

7.1. The Parties shall be liable for non-performance or improper performance in accordance with the legislation of the Republic of Belarus, without limiting mandatory consumer protections that cannot be excluded by agreement.

7.2. The Seller shall not be liable for failure to perform obligations due to inaccurate information provided by the Buyer or in cases of force majeure.

8. Processing and Protection of Personal Data

8.1. When placing an order, the Buyer provides personal data (name, e-mail address, delivery address, and contact phone number) and consents to its processing by the Seller for the purposes of fulfilling this Agreement.

8.2. The Seller processes personal data in accordance with the Law of the Republic of Belarus of May 7, 2021 No. 99-Z “On the Protection of Personal Data” and the key principles of Regulation (EU) 2016/679 (GDPR) applicable when dealing with clients from the European Union.

8.3. Order and delivery data may be stored and processed using Supabase.

8.4. During payment, data is processed by BePaid (LLC “BePaid”, Republic of Belarus) on its secure payment page.

8.5. The Seller does not receive or store the full card number, CVV/CVC, PIN, or card expiry date.

8.6. The Buyer has the right to request the deletion, modification, or a copy of their personal data by sending a written request to the Seller’s e-mail address.

9. Force Majeure

9.1. The Parties shall be released from liability for failure to perform obligations under this Agreement if such failure results from force majeure circumstances confirmed by competent authorities.

10. Dispute Resolution Procedure

10.1. All disputes and disagreements shall be resolved through negotiations.

10.2. If an amicable settlement is not reached, disputes shall be resolved by a court in accordance with applicable law. Nothing in this clause limits mandatory consumer rights or jurisdiction protections that cannot be excluded under applicable law.

11. Term of the Offer

11.1. This Offer is valid indefinitely and may be amended by the Seller unilaterally.

11.2. The new version of the Offer enters into force upon its publication on the Website and applies to orders placed after the date of publication.
